Digital license agreement for the use of the CAD files and the technical drawings of the original Desktop Filament Extruder MK2.5 by ARTME 3D.
The contract exists between
Artme GmbH as licensor Address: Wormser Straße 44, 67346 Speyer, Germany Contact: www.artme.de, kontakt@artme-3d.de
and
you as licensee and buyer of the CAD files and technical drawings. You are identified as the buyer by the collection of your name, address and IP address. You have given your consent to this agreement and the collection of this data when purchasing the files by confirming the terms and conditions, the privacy policy and the digital license.
1. preamble
1.1 The Licensor has developed a miniature plastic extruder for melting plastic granulate or regrind. The shape and nature of the metal components of the device are protected by a copyright license.
1.2 The shape and nature of the components are documented in digital CAD files and technical drawings and are subject to this digital license agreement.
1.3 The Licensee intends to produce the copyrighted components and to use or distribute them privately or commercially.
1.4 . With this Agreement, the Licensor grants the Licensee a license in accordance with the following provisions.
2 Contractual property rights
2.1 The metal components of the extruder are a copyrighted development of the Licensor and are available in the form of digital CAD files and technical drawings.
3. licensed products
3.1 Licensed products are the metal components which correspond to the features of the developments listed here.
3.2 Licensed products are in particular the geometry of the extruder screw with the formation of a straight feed without shearing edge, which enables the processing of regrind in very small extruder screws.
3.3 Licensed products are in particular the extruder barrel with grooves in the feed zone in connection with the above mentioned extruder screw geometry.
3.4 Licensed products are in particular the arrangement and attachment of the extruder motor as well as the attachment of the extruder tube, which enables the use of an agitator in the feed zone of the extruder, as well as the very easy disassembly of the extruder.
3.5 Licensed products are also all plastic extruders which use the know-how contained in this development.
3.6 Licensed products are the CAD data and the technical drawings of the metal components described.
4 License
4.1 The Licensor grants the Licensee an exclusive license to the contract protection rights for the manufacture and use of the copyrighted metal components. The Licensee shall be entitled to manufacture, use or distribute the Licensed Products according to the digital CAD files and technical drawings in its own workshop or in the workshop of a third party.
4.2 The Licensee is not entitled to pass on or resell the CAD files and the technical drawings of the copyrighted metal components to third parties.
4.3 The Licensee shall not be entitled to grant sub-licenses to third parties in respect of the contractual property rights.
4.4 Furthermore, the Licensee shall not be entitled to transfer the rights arising from this Agreement or the contractual position as a whole to third parties.
5 License Fees
5.1 The license fee is 27€.
5.2 The license fee is to be paid once and is due upon purchase of the CAD files and technical drawings.
6. license note The licensee is obliged to label the licensed products with the following note: "Manufactured under license from Artme GmbH. Source files and license files available at www.artme-3d.de"
7. exclusion of liability
7.1 The Licensor does not assume any liability for material defects or defects of title. In particular, the Licensor shall not assume any liability that the Contractual Rights are valid, economically exploitable, technically feasible or usable or that the Contractual Rights or the Contractual Know-How do not infringe the rights of third parties.
7.2 The Licensee undertakes to indemnify the Licensor against claims of third parties arising from product liability or due to advertising statements of the Licensee.
7.3 The Licensor assumes no responsibility and expressly disclaims any liability for loss, injury, damage or expense resulting from the installation, handling, storage, use or disposal of the Licensed Products.
7.4 The Licensed Products are provided without any express or implied warranty as to their accuracy or function.
8. duration of the contract
8.1 The contract is non-cancelable and continues for the lifetime of Licensee.
8.2 The license shall transfer to the rightful heirs upon the death of the Licensee.
9.Final Provisions
9.1 The contract shall be governed by German law to the exclusion of the conflict of laws provisions applicable in Germany.
9.2 The place of performance shall be the Licensor's registered office.
9.3 The Regional Court of Frankenthal (Pfalz) shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement or its validity.
10. Consent of the Parties
10.1 You gave your consent to this License Agreement as a licensee when you purchased the CAD data and technical drawings digitally. By placing a check mark for the information about the general terms and conditions, the privacy policy and this digital license agreed. By collecting your name, address and IP address, you are hereby identified as the licensee.
10.2 The technical execution of the digital consent took place on the webshop of Artme GmbH with the name ARTME 3D.
